1. Scope

These Terms of Sale govern all purchases of products made on ashcroft-flatcaps.com (the "Site") from N&A Partners LLC, operating as "ASHCROFT & Co" (the "Seller," "we," "us"). By placing an order, you ("Customer," "you") agree to these Terms. You confirm that you are at least 18 years old and able to enter into a binding contract.

3. Products

Products are offered subject to availability. Their essential characteristics (materials, dimensions, colors) are described on each product page. Photographs are provided for illustration; minor variations in color or appearance that are inherent to textile goods do not give rise to any liability. If a product becomes unavailable after your order, we will inform you promptly and refund the amount paid for that item.

4. Prices

Prices are shown on the Site in U.S. dollars (USD) unless another currency is displayed at checkout. Applicable sales tax, if any, is calculated and shown at checkout. Shipping charges, where applicable, are indicated before you confirm your order. We may change prices at any time, but orders are billed at the price in effect when the order is placed. Any "compare-at" (strikethrough) price reflects a genuine prior selling price.

5. Orders & Order Acceptance

You place an order by selecting products, adding them to your cart, and completing checkout (shipping details, billing details, payment). Your order is an offer to purchase. The contract is formed when we confirm acceptance of your order and payment is authorized; you will receive a confirmation email. We may refuse or cancel any order for legitimate reasons, including suspected fraud, unusual orders, stock issues, or an obvious pricing error.

6. Payment

Payment is due at the time of order, through the payment methods shown on the Site. Details and security measures are set out in our Payment Policy. Orders are processed only after the payment is authorized.

7. Shipping & Delivery

Products are delivered to the address you provide. Timeframes, destinations, costs, and tracking are described in our Shipping Policy. Title and risk of loss pass to you upon delivery to the carrier / upon your receipt of the products, as applicable under the shipping terms.

8. Returns, Refunds & Our 100-Day Satisfaction Guarantee

There is no federal "cooling-off" or automatic cancellation right for online purchases in the United States. Your return rights are those set out in our Returns & Refunds Policy, together with any rights you may have under the laws of your state.

9. Warranties & Disclaimer

We warrant that products will be free from material manufacturing defects under normal use. Except for our stated guarantee and any warranties that cannot be excluded under applicable law, the products are provided "as is," and we disclaim all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose, to the fullest extent permitted by law. This warranty does not cover normal wear, misuse, accidents, or improper care.

10. Limitation of Liability

To the fullest extent permitted by law, our total liability arising out of or relating to any order will not exceed the amount you paid for the product(s) at issue. We are not liable for indirect, incidental, special, or consequential damages. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Force Majeure

We are not responsible for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, carrier disruptions, or governmental actions.

Personal data collected in connection with orders is handled as described in our Privacy Policy.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Before filing any claim, please contact us at help@ashcroft-flatcaps.com so we can try to resolve the matter. Any dispute will be subject to the courts located in Wyoming, except that you may have the right to bring claims in your local jurisdiction where required by applicable consumer law.

14. Miscellaneous

If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms are available in English; a French courtesy translation may be provided for information only, and the English version prevails.
